1. Acceptance of Terms
By downloading, installing, accessing, or using any software product published by Gulf Shield Technologies LLC (“Gulf Shield Technologies,” “we,” “us,” or “our”), or by visiting our website at gulfshieldtech.com, you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use our products or services.
These Terms form a binding legal agreement between you and Gulf Shield Technologies LLC, a Florida limited liability company. If you are accepting on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms.
Effective date: May 5, 2026.
2. The Products
Gulf Shield Technologies builds and ships software products. The current catalog is available at gulfshieldtech.com. Each product (a “Product”) may have product-specific terms, pricing, and license mechanics documented on its own page; those product-specific terms supplement (and where they conflict, control over) these general Terms for the Product they cover.
The first Product in the catalog is Canopy — a local-first code intelligence platform.
3. License Grant
Subject to your compliance with these Terms and any applicable product-specific terms, Gulf Shield Technologies grants you a non-exclusive, non-transferable, revocable license to use the Products you have legitimately licensed, for the duration of your license term, solely for the purposes described in the relevant Product documentation.
Free-tier or community-mode usage is granted under a similar license, limited to the features documented for that tier. Use beyond those limits requires a paid license.
4. What You Can’t Do
You may not:
- Resell, sublicense, or redistribute any Product or any part of it without prior written authorization.
- Reverse engineer, decompile, or disassemble any binary distribution of a Product, except to the extent that applicable law expressly prohibits this restriction.
- Use a single license across more seats or machines than the license permits. Per-Product license scope (seats, machines, repositories, etc.) is documented on each Product’s page.
- Remove or alter any copyright, trademark, or other proprietary notice in any Product.
- Use our Products to violate the law, infringe someone else’s rights, or send unsolicited communications.
5. Subscriptions, Payments, and Refunds
Paid Products are typically billed via Stripe on a recurring monthly or annual basis. By providing payment information, you authorize Gulf Shield Technologies to charge the listed amount on the schedule you select.
You can cancel a subscription at any time through the Stripe Customer Portal linked from your account page. Cancellation takes effect at the end of the current billing period; you keep access through that period.
Per-Product refund policies are documented on each Product’s page. We don’t directly process refunds for purchases made through the App Store, Google Play, or other third-party stores — those are handled by the relevant store under its own refund policy.
6. Intellectual Property
All Products, including their source code (where applicable), binaries, documentation, branding, and supporting assets, are owned by Gulf Shield Technologies LLC. Your license under Section 3 grants you the right to use the Products as described; it does not transfer ownership of any underlying intellectual property.
Feedback you submit (bug reports, feature requests, suggestions) is non-confidential, and you grant us a perpetual, royalty-free license to use it without obligation to you.
7. Disclaimer of Warranties
THE PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GULF SHIELD TECHNOLOGIES DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES IMPLIED BY COURSE OF DEALING OR USAGE OF TRADE.
We don’t warrant that the Products will be uninterrupted, error-free, or meet your specific requirements.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL GULF SHIELD TECHNOLOGIES LLC BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO YOUR USE OF THE PRODUCTS.
OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS RELATED TO THE PRODUCTS, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) FIFTY DOLLARS ($50.00 USD).
Some jurisdictions don’t allow these limitations; in those jurisdictions, our liability is limited to the maximum extent permitted by law.
9. Indemnification
You agree to defend, indemnify, and hold harmless Gulf Shield Technologies LLC, its members, employees, and agents, from any claims, damages, or expenses (including reasonable attorneys’ fees) arising out of (a) your use of the Products in violation of these Terms or applicable law, (b) your violation of any third party’s rights, or (c) your content or feedback you submit.
10. Termination
We may suspend or terminate your access to the Products if you materially breach these Terms, including failure to pay subscription fees. You may terminate by canceling your subscription and ceasing use.
On termination, the license granted in Section 3 ends immediately and you must stop using the Products and delete any binaries you’ve downloaded.
Sections 4–13 survive termination.
11. Governing Law
These Terms are governed by the laws of the State of Florida, USA, without regard to its conflict-of-laws principles.
12. Dispute Resolution
We’d rather resolve disputes informally first. If you have a complaint, email legal@gulfshieldtech.com and we’ll work in good faith to resolve it within thirty (30) days. If we can’t, either party may pursue available legal remedies.
13. Modifications
We may modify these Terms. Material changes will be communicated via email to existing customers and posted on this page at least thirty (30) days before taking effect. The lastUpdated field at the top of this document reflects the most recent version. Continued use after the effective date of a modification constitutes acceptance.
